Margasoft Corp. (referred to as “Margasoft”, “we’’, “us” or “our”) provides the use of its proprietary services known as ‘’Chartrics’’ under the following Terms of Service ("TOS").
This agreement is a legal agreement between you and Margasoft corp. and governs your use of Chartrics. By using the Chartrics you are indicating that you have read and agreed to these TOS and any other related terms and conditions located on Margasoft’s www.chartrics.com website. Please note that with each use of Chartrics, you unconditionally agree to follow and be bound by this Agreement. If you do not agree to these TOS, you should not use Chartrics.
Margasoft reserves the right to change or to update the TOS or any documents referred to in TOS. Margasoft may change the TOS by posting the new version. Use of Chartrics after the changes indicates your acceptance of the changes.
Unless explicitly stated otherwise, any new feature that augment or enhance the current version of Chartrics, including new releases, shall be subject to these or other applicable TOS. You also understand and acknowledge that Margasoft may modify, terminate, suspend, or otherwise adjust any and all functions, features, options, utilities, tools, or other aspects of Chartrics at any time without prior notice to you. You understand and agree that Chartrics is provided "AS-IS" and that Margasoft assumes no responsibility for, among other things, availability, timeliness, deletion, failure to store any user data or communications or personalization settings, or changes to Chartrics Margasoft may make from time to time. In addition, you must provide and are responsible for all equipment necessary to access the Chartrics.
You acknowledge and agree that any Margasoft’s proprietary application and any other necessary software provided in connection with Chartrics contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained or information presented to you through Chartrics is or may be protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws.
All Chartrics logos and product names are or may be trademarks of Margasoft. Except as solely enabled by Margasoft, you agree not to display or use in any manner Margasoft’s trademarks without Margasoft’s prior written consent.
Margasoft does not claim ownership of Content you submit or that you make available for inclusion on Chartrics. However, you must understand that you are entirely responsible for all Content that you upload, download, post, email, transmit or otherwise make available or use via Chartrics. You agree to not use Chartrics to create liability or damages to Margasoft.
You acknowledge that Margasoft may or may not pre-screen Content, but that Margasoft shall have the right (but not the obligation) to remove Content from Chartrics that Margasoft determines, in its discretion, may create liability or damages to Margasoft. You acknowledge that Margasoft may establish general practices and limits concerning the use of Chartrics, including without limitation the maximum number of days that Content will be retained by Chartrics, the maximum size of any or all Content files, the maximum disk space that will be allotted on Chartrics servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access Chartrics in a given period of time, and/or any other condition of Chartrics. You agree that Margasoft has no responsibility or liability for the deletion or failure to store any Content, messages and other communications, or other materials or Content maintained or transmitted by Chartrics.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF CHARTRICS IS AT YOUR SOLE RISK, CHARTRICS IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND MARGASOFT AND ITS AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND; (B) MARGASOFT AND ITS AFFILIATES MAKE NO WARRANTY THAT (i) CHARTRICS WILL MEET YOUR REQUIREMENTS, (ii) CHARTRICS WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF CHARTRICS WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL OBTAINED BY YOU THROUGH CHARTRICS WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN CHARTRICS WILL BE CORRECTED.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT MARGASOFT AND ITS AFFILIATES SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT OR INDIRECT DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM THE USE OR THE INABILITY TO USE CHARTRICS AND ANY OTHER MATTER RELATING TO CHARTRICS.
Your access to Chartrics and your use of Chartrics is subject to Privacy Statement available here. The Privacy Statement is subject to change from time to time.
This TOS is solely intended for you and Margasoft. It is not for the benefit of a third party, except for the cases of a permitted successor assigned under this TOS.
You agree that Margasoft may, under any circumstances and without prior notice, immediately terminate your Chartrics account, and access to Chartrics and/or any and all Content or materials. Cause for such termination shall include, but not be limited to: (a) breaches or violations of the TOS or other agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to Chartrics (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) the nonpayment of any fees owed by you in connection with Chartrics. Further, you agree that all terminations shall be made at Margasoft 's sole discretion and that Margasoft shall not be liable to you or any third party for any termination of your account.
In consideration of your use of Chartrics, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdictions. In order to access or use Chartrics, you may be required to provide certain information about yourself ("Registration Data") as part of the registration process for Chartrics, or as part of your continued use of the Services. You also agree to (a) provide true, accurate, current, and complete Registration Data as prompted or requested by Chartrics and (b) maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If you provide any information that is inaccurate, not current or incomplete, or Margasoft has reasonable grounds to suspect that such information is inaccurate, not current, or incomplete, Margasoft has the right to suspend or terminate your account, prevent your access to any or all portion of Chartrics and or Content (or other users' access to your Content) and refuse any and all current or future use of Chartrics (or any portion thereof) or Content. You certify that you are at least 18 years old; if you are not, you may not register for or use Chartrics.
As part of your use of Chartrics, you may receive a password and account designation upon completing the Chartrics registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify Margasoft of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. Margasoft cannot and will not be liable for any loss or damage arising from your failure to properly safeguard your account or password. You have sole responsibility for adequate protection and backup of Content of any type that you upload to, download from or otherwise create or use with, Chartrics, and/or equipment you use in connection with Chartrics.
Chartrics may be available to you with or without charge. Access to certain features, functions, and/or full or partial portions of Chartrics may require payment. You may also be provided "trial", "demo" or other limited-functionality or limited-access versions of Chartrics and/or its parts with or without charge. In addition to any fees required to access certain features, functions or services offered through or by Chartrics, you are responsible for paying all applicable taxes and all third-party hardware, software, service and/or other costs you may incur in order to access Chartrics and your account. All or some of the Chartrics may need to be downloaded to your computer and/or accessed online. You must have authorized and separate Chartrics access for each account you wish it to be enabled for and, where applicable, you must download and install any necessary software on each machine on which you wish to use and access Chartrics.
You may cancel your subscription at any time by sending an email to [email protected] from your company email address used during registration.
With the Chartrics annual payment plan, you may terminate your subscription and you will not be charged for the following year. There are no refunds for monthly plans.
Chartrics upgrades will be introduced from time to time. You will be notified about the updates. The updates will be automatically installed on your device.
